• Corporate: Analyzed tax implications of contingent earn-out share redemption, partnership restructuring (entity redemption vs. partner cross-purchase), and §1202 QSBS transaction under the new OBBBA rules; crafted tax efficient scenarios for ESOP share purchase worth $120 million; prepared insider-trading disclosure stage chart; drafted drag-along and tag-along rights contract amendment, letters of intent, and client correspondence.
• Estate Planning: Created presentation of settlement offer for a $50 million estate dispute; prepared trust accounting and distribution; drafted trust documents; assisted with tax deed foreclosure.
